Terms of Service

These Terms of Service (“Terms”) govern your purchase and use of products and services from Rafiki Dudu Net (part of Rafiki Pest Control). By requesting a quote, placing an order, accepting an estimate, or allowing installation work to commence, you agree to these Terms. If you do not agree, please do not place an order or allow work to proceed.

1. Definitions

  • We / Us / Rafiki Dudu Net: Rafiki Dudu Net, trading under Rafiki Pest Control.
  • You / Customer: The individual or business that requests, purchases, or receives our products or services.
  • Products: Magnetic mosquito nets, retractable nets, pleated systems, mesh, aluminium profiles and associated accessories supplied by us.
  • Services: Site surveys, measurement, fabrication, installation, maintenance and repair of Products.
  • Custom Products: Products manufactured to your exact measurements or specifications.

2. Scope & Acceptance

These Terms apply to all quotes, estimates, orders and services provided by Rafiki Dudu Net. Any different, additional, or conflicting terms in your purchase order or communication are not binding on us unless agreed in writing by an authorised Rafiki Dudu Net representative.

3. Quotations & Estimates

  • Quotes and estimates are valid for the period stated on the document. If no period is stated, they remain valid for 30 days from the date issued, unless withdrawn earlier.
  • All quotations are based on the information available at the time of quoting (measurements, site photos, customer requirements). If site conditions differ, we reserve the right to revise the quote.

4. Orders & Confirmation

  • Orders are accepted when we issue a written order confirmation or invoice, or when we commence fabrication or installation, whichever occurs first.
  • For Custom Products, fabrication will not commence until any required deposit or payment is received and you have confirmed final measurements and specifications.

5. Measurements, Site Surveys & Accuracy

  • We will measure and advise on the best solution. It is your responsibility to ensure the spaces where Products will be installed are suitable.
  • Where measurements are provided by the customer, Rafiki Dudu Net is not liable for errors caused by inaccurate or incomplete measurements supplied by the customer. Additional charges may apply to correct any mistakes.

6. Customer Responsibilities

You must:

  • Provide safe, unobstructed access to the premises on scheduled installation or inspection dates.
  • Ensure electricity and a safe working area are available if required by the installation team.
  • Inform us of any security, health & safety, or access restrictions at the site before work begins.
  • Not modify or allow third parties to modify installed Products without our written consent (unauthorised modifications may void warranties).

7. Pricing, Taxes & Payment

  • Prices exclude applicable taxes (including VAT) and any local duties unless the quotation expressly states otherwise. You are responsible for all taxes and duties.
  • Payment terms will be stated in the quote/invoice. For Custom Products, a non-refundable deposit may be required to commence production.
  • Late payments may attract interest and collection costs as permitted by law. We reserve the right to suspend work or withhold delivery for unpaid invoices.

8. Delivery & Installation

  • Delivery and installation dates are estimates; time is not of the essence unless expressly agreed. We will make reasonable efforts to meet agreed timelines.
  • If delays occur due to circumstances outside our control (e.g., supplier delays, weather, force majeure), we will notify you and agree a revised schedule.
  • Title in Products passes to you upon full payment. Risk passes to you on delivery or collection (or sooner if installed).

9. Custom Products, Cancellation & Changes

  • Custom Products manufactured to measurements or specifications provided by you are non-refundable once fabrication has commenced, except where required by law or agreed in writing.
  • Cancellation requests must be made in writing. Cancellations before production may be subject to an administration fee. Cancellations after production starts will normally incur charges to cover work performed and materials used.

10. Inspection, Acceptance & Warranty Claims

  • You must inspect Products on delivery and installation and notify us promptly of any visible defects or damage. For warranty or refund claims, see our Refund & Returns Policy.
  • Product warranties (materials and workmanship) vary by item and will be specified at sale. Warranty coverage is subject to correct use, installation and maintenance, and does not cover damage caused by misuse, alterations, third-party work, or normal wear and tear.

11. Limitation of Liability

  • Except for liability that cannot be excluded by law, Rafiki Dudu Net’s liability for any claim arising from these Terms or the supply of Products/Services is limited to repairing or replacing the Product, or refunding the purchase price (at our option).
  • We are not liable for indirect, special, incidental, consequential or economic loss (including lost profits, loss of business or goodwill), even if foreseeable.
  • Nothing in these Terms excludes liability for death or personal injury resulting from our negligence or for fraud.

12. Indemnity

You agree to indemnify and hold Rafiki Dudu Net harmless from any claim, loss, damage or expense arising from your breach of these Terms, negligent acts, or unauthorised modifications to Products.

13. Intellectual Property

All intellectual property rights in designs, drawings, manuals and materials provided by Rafiki Dudu Net remain our property. You may not reproduce or use our designs for commercial supply without our written consent.

14. Data Protection & Privacy

We process personal information in accordance with our Privacy Policy. By engaging our services you consent to our collection and use of personal data for the purposes of quoting, manufacturing, installation, warranty and communications. For full details see our Privacy Policy.

15. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (acts of God, strikes, pandemic restrictions, supplier failures, severe weather, governmental actions, etc.). We will notify you of such events and agree reasonable next steps.

16. Termination & Suspension

  • We may suspend work or terminate contracts if you fail to pay, refuse access, or breach these Terms. We may charge for work done up to termination and any reasonable costs incurred.
  • You may terminate a contract for our breach if we fail to remedy a material failure within a reasonable period after written notice.

17. Dispute Resolution & Governing Law

  • These Terms are governed by the laws of the Republic of Kenya.
  • Parties agree to first attempt to resolve disputes by good-faith negotiation. If unresolved, disputes may be referred to mediation or arbitration in Nairobi, or to courts of competent jurisdiction in Kenya, at our election. Nothing prevents either party from seeking urgent interlocutory relief in court.

18. Amendments to Terms

We may update these Terms from time to time. Updated Terms will be published with a new effective date. Your continued use of our services after publication constitutes acceptance of the updated Terms.

19. Severability

If a provision of these Terms is found invalid or unenforceable, the remainder of the Terms remain in full force and effect.
